Creation, Negotiation and Documentation of Business Vehicles, Events and Relationships

The Firm regularly provides its clients’ with transactional counsel unrelated to litigation, and devotes careful attention to every detail of the client’s business needs.  Clients will understand not only what work is being performed, but why such work is being performed.  By thoroughly understanding clients’ objectives, the Firm is able to assist its clients in achieving those objectives in a cost-effective manner.

The following represent some of the more common categories of transactional work performed by the Firm.

Business Formation:  The Firm’s practice includes all manner of business formation including the creation of general and limited partnerships, joint ventures, corporations, and limited liability companies (LLCs).

Business Purchase and Sale:  The Firm has represented both buyers and sellers in connection with the stock or asset purchase (or sale) of a commercial enterprise.  Such work typically includes preparation of original purchase documentation (including purchase contracts, notes, pledge and/or security agreements, SNDAs and the like), as well as negotiation of terms and conditions to same.  By working closely with the client (and counsel), the Firm achieves a successful and economical transaction for all parties.

Contract Formation:  The Firm prides itself in its ability to craft documents which exactly suit the client's objectives.  It routinely assists its clients in the evaluation, formation and negotiation of most manner of business contracts, including employment agreements, licensing agreements, non-compete agreements, consultant agreements, confidentiality and non-disclosure agreements, construction agreements, indemnity agreements, management agreements, asset and/or stock purchase and sale agreements (including buy sell options and the like), cross-purchase ("key man") agreements, real property agreements, severance agreements, shareholder agreements, promissory notes and other commercial contracts.

Development/Construction:  The Firm has represented developers, contractors, landowners, architects and property managers in the purchase, sale, development, construction, and maintenance of residential and commercial real property.  Such work entails creation of documents requisite to the project, including construction contracts and releases, development agreements, management agreements, indemnity agreements, CC&R's and other related contracts.  The Firm has also represented individual clients before public bodies in negotiating or appealing decisions relating to design review, approval or denial of conditional use permits (CUPs), variances, and/or other real property use issues.

General Transactional Consultation:  The Firm is regularly called upon to consider with the client -- in advance -- the risks and benefits attending to any transaction or relationship contemplated by the client, and extends to all manner of business relationship, contract, and/or business acquisition or sale.

Leasing:  The Firm has represented both real property and equipment lessors in connection with the formation, negotiation and/or enforcement of commercial lease relationships.

Real Property Purchase and Sale:  The Firm has represented developers, architects, investors, or general business persons in the purchase and sale of real property throughout California.  Such transactions have included both commercial and residential properties, as well as undeveloped land.
